Process for setting up a foreign invested advertising Company in China

Definition

Foreign-invested advertising company refers to Sino-foreign equity joint ventures，Sino-foreign cooperative joint ventures (Sino-foreign equity joint ventures and Sino-foreign cooperative joint ventures shall here and hereinafter collectively be referred to as Sino-foreign Advertising Joint Ventures Company）and wholly foreign-owned advertising company.

Application process

1.     Preliminary examination

Authority: administration for industry and commerce

Document issued: Examination and Approval of a Project of a Foreign-invested Advertising Enterprise Opinion

2. Application for Certificate of approval

Authority: Ministry of Commerce

Document issued: Approval Certificate for a Foreign-invested Enterprise

3. Application for Business Licence

Authority: administration for industry and commerce

Document issued: Business Licence

Qualification for investors

i-   all parties to the joint venture shall be company that engage in advertising business;

ii-  all parties to the joint venture shall have been established and in operation for over two years；

iii-  have business performance in advertising.

Documents required for set up a wholly foreign-owned advertising enterprise

i-an application for establishment of a foreign-invested advertising enterprise；

ii- resolution of the shareholders' meeting （board of directors） of the investor；

iii-project proposal and feasibility study report prepared by the investor；

iv- incorporation certificate of the foreign investor；

v- proof of creditworthiness of the investor； and

vi- notice of the preliminary approval of the enterprise name.

viii-the articles of association for establishment of a wholly

foreign-owned advertising enterprise.
